KBY Congregations Together, Inc. ("KBY") is a non-profit corporation
organized under the laws of the State of New York. Its function is to raise
funds and otherwise support progressive Judaism in Israel through the
religious, educational and charitable activities of congregations charitable
activities of Reform, Conservative & Unaffiliated progressive congregations
in Israel.
Congregation ___________________________________ ("Associate
Congregation") is an amutah (non-profit organization) organized under
the laws of the State of Israel and is not controlled by any other organization.
KBY desires to grant funds to the Associate Congregation and Associate
Congregation desires to receive funds from KBY. Therefore, the parties agree
as follows:

Associate Congregation shall use any and all
grants from KBY (the "Grants") exclusively for charitable, educational and
religious purposes. Associate Congregation will not engage in any
activities that would cause it to be denied status as an Internal Revenue
Code section 501(c)(3) organization were it to apply for such status.

Associate Congregation shall reimburse KBY for
any portion of the Grants which are not utilized in accordance with the
provisions of Internal Revenue Code section 501(c)(3).

Associate Congregation shall submit reports,
at least annually, to KBY itemizing the use of the Grants

Associate Congregation represents that it has
adequate procedures in place to account for the Grants and to ensure their
appropriate use. Associate Congregation shall keep records, related to the
Grants, to substantiate all expenditures and shall make all such related
books and records accessible to KBY at reasonable times for a
period of four years following the use of each Grant.

Associate Congregation shall not utilize any
portion of the Grants to contribute to political parties or to candidates
or party lists for elective office, or for substantial lobbying or
political activity.

Associate Congregation represents and warrants
that it is validly organized as a nonprofit corporation ("amutah") in
Israel and is in good standing with the Registrar of Non-Profit
Organizations within the Interior Ministry of the State of Israel. It will
maintain such licenses and registrations required by the laws and
regulations of Israel during the term of this Agreement and provide copies
to KBY.

Associate Congregation shall immediately
notify KBY of any change in its status as an amutah by mailing a notice
to KBY at the following address: KBY Congregations Together, PO Box 23170,
Brooklyn, NY 11202, USA or such other address KBY may later designate in
writing.

Associate Congregation understands that Grants
are subject to the availability of funds and the approval of the KBY Board
of Directors. All Grants are subject to the conditions set forth in this
agreement and to any additional conditions specified in the Grant
Transmittal letter. If Associate Congregation does not wish or intend to
comply with the conditions of a Grant, it shall return the check
forthwith. Deposit of the funds shall constitute an assent to the
conditions of a Grant.
